1. Scope of Manufacturing & Private Label Services
Zynova Apparel operates as a custom OEM (Original Equipment Manufacturer) and ODM (Original Design Manufacturer) specializing in:
- Motorcycle & racing apparel (1-piece & 2-piece leather suits, protective racing jackets, CE Level 2 armor).
- High-performance sports apparel, sublimated uniforms, and athletic teamwear.
- Handcrafted genuine leather and fashion outerwear.
- Industrial workwear, high-visibility clothing, and occupational protective gear.
- Heavy-duty gear duffels, travel bags, and specialized accessories.
By requesting a quotation, approving a pre-production sample, or placing a purchase order (PO), the Client agrees to be bound by these Terms.
2. Quotations, Pricing & Validity
- Factory-Direct Quotes: All price quotations are provided on an ex-factory (EXW), Free on Board (FOB), or Delivered at Place (DAP) basis as explicitly detailed in your formal commercial invoice.
- Currency: Unless otherwise agreed in writing, all transactions and quotations are denominated in United States Dollars (USD), Euros (EUR), or British Pounds (GBP).
- Quote Validity: Formal quotations remain valid for thirty (30) calendar days from issuance, subject to significant market fluctuations in raw materials (e.g., international leather hide auctions or specialized technical yarn shortages).
3. Custom Specifications, Tech Packs & Client Approvals
- Client Submissions: The Client is responsible for supplying accurate tech packs, vector artwork files (AI, EPS, PDF), sizing specifications, and Pantone (PMS) color references.
- Pre-Production Approvals: For all custom orders, digital mockups and/or physical counter-samples are submitted for Client inspection. Production commences only upon formal written approval (via email or signed proforma invoice).
- Tolerances: Due to manual artisanal craftsmanship and the nature of natural leather hides and stretch textiles, standard international garment industry dimensional tolerances (+/- 1.5 cm) apply.
4. Sample Development & Prototype Policy
- We encourage pre-production prototype sampling to ensure fit, fabric feel, and aesthetic alignment before mass production.
- Sample fees and international courier costs (DHL/FedEx) are payable prior to sample dispatch.
- Sample fees are credited back or adjusted against the final commercial bulk production order upon achieving negotiated minimum order quantities (MOQs).
5. Minimum Order Quantities (MOQs) & Lead Times
- Flexible MOQs: We accommodate startup brands, established labels, and large-scale distributors with tiered MOQs tailored to specific product categories (typically starting from 20–50 pieces per style/colorway).
- Production Lead Times: Standard bulk production lead times range between 3 to 6 weeks following sample approval and deposit confirmation, depending on volume, customization complexity, and seasonal factory scheduling.
6. Payment Terms & Commercial Financing
- Standard Commercial Terms: A 50% advance deposit is required to initiate raw material procurement and production, with the remaining 50% balance payable upon quality control inspection and prior to dispatch (accompanied by detailed high-res photos and video verification of finished goods).
- Payment Methods: We accept International Wire Transfer (T/T via SWIFT), Irrevocable Letters of Credit (L/C) at sight for high-volume accounts, and verified secure payment gateways for sampling.
7. Shipping, Freight & Customs Clearance
- Worldwide Logistics: We ship worldwide utilizing DHL Express, FedEx Priority, global air freight, and commercial ocean container freight (FCL/LCL).
- Customs & Import Duties: Unless an explicit DDP (Delivered Duty Paid) agreement is executed, destination import customs duties, tariffs, VAT/GST, and local clearance fees are the sole responsibility of the importer/buyer.
- Tracking: Complete air waybill (AWB) or bill of lading (B/L) tracking information is provided immediately upon factory dispatch.
8. Intellectual Property & Brand Ownership Protection
- Client Ownership: All trademarks, private labels, logos, design files, and proprietary patterns provided by the Client remain the exclusive intellectual property of the Client.
- Exclusivity: Zynova Apparel strictly covenants never to resell, reproduce, or exhibit proprietary private-label client goods to third-party competitors without explicit written authorization.
9. Quality Inspection, Claims & Warranty
- Every production batch undergoes rigorous multi-tier internal quality audits covering seam strength, dimensional fidelity, hardware functionality, and packaging integrity.
- Inspection Period: The Client must inspect delivered shipments within fourteen (14) calendar days of receipt. Any documented manufacturing defects or discrepancies must be reported in writing with photographic/video evidence.
- Remedy: Upon verification of valid factory defects, Zynova Apparel will promptly repair, remanufacture, replace, or issue credit for the affected units.
10. Governing Law & Dispute Resolution
These Terms and any commercial agreements between the parties are governed by the commercial and contract laws of the jurisdiction specified in the commercial sales contract, prioritizing mutual good-faith arbitration and international trade guidelines (ICC rules).
